AGREEMENT TO TERMS
These Terms of Use constitute a legally binding agreement between you and Shemisli. By accessing our Sites, you agree to these terms. We may modify these terms, and it's your responsibility to review them periodically. If you disagree with any part, discontinue use.

INTELLECTUAL PROPERTY RIGHTS
The content on our Sites, including text, images, and trademarks, is protected by copyright and trademark laws. You're granted a limited licence for personal use only. Any commercial use requires our explicit written permission.

USER REPRESENTATIONS
You represent that the information you provide is accurate, and you'll comply with these terms. You won't use automated means to access the Sites, and your use won't violate any laws.

USER REGISTRATION
If required, you agree to keep your registration information accurate and confidential. We reserve the right to reclaim inappropriate usernames.

PRODUCTS

  • Automated Systems: Do not use automated systems that interfere with the Sites' operation.
  • Harmful Actions: Do not disparage, tarnish, or harm us or the Sites.

USER-GENERATED CONTRIBUTIONS
The Sites may offer opportunities to contribute content, such as text, images, or videos. By contributing, you represent and warrant that:

  • Your Contributions won't infringe on third-party rights.
  • You own or have the necessary permissions for your Contributions.
  • You have consent from identifiable individuals featured in your Contributions.
  • Your Contributions are truthful and not misleading.
  • Your Contributions aren't unauthorized advertising, spam, or solicitation.
  • Your Contributions are not offensive, harassing, or objectionable.
  • Your Contributions don't ridicule, mock, or abuse anyone.
  • Your Contributions don't promote violence or harm.
  • Your Contributions comply with applicable laws and regulations.
  • Your Contributions respect privacy and publicity rights.
  • Your Contributions avoid soliciting personal information from minors.
  • Your Contributions don't involve child pornography or harm minors.
  • Your Contributions avoid offensive comments related to protected characteristics.
  • Your Contributions comply with these Terms of Use and applicable laws.


CONTRIBUTION LICENCE
When you post Contributions on the Sites, you grant us an unrestricted, irrevocable license. This includes the right to use, copy, sell, publish, and distribute your Contributions for any purpose. The licence covers any media format and technology, known or developed in the future. You retain ownership, but we have the right to use your Contributions, including your name and trademarks, without asserting ownership. You waive moral rights in your Contributions, and we're not liable for them. We may edit, delete, or re-categorize Contributions at our discretion without notice.

GUIDELINES FOR REVIEWS
If you leave reviews on the Sites, follow these criteria: have firsthand experience, avoid offensive language, discrimination, and illegal references, and don't affiliate with competitors when posting negative reviews. Don't make misleading statements or organize review campaigns. We may accept, reject, or remove reviews, and we're not obligated to screen or delete them. Reviews aren't our endorsements, and we're not liable for them. By posting a review, you grant us a licence to reproduce, modify, and distribute the content.

SOCIAL MEDIA
You can link your Shemisli account to third-party services. By doing so, you grant us access to content from these third-party accounts. This includes content you've stored in these accounts. Depending on privacy settings, this content may be visible on the Shemisli site. Your relationship with third-party providers is governed solely by your agreement with them. We don't review this content for accuracy or legality. You can disable this connection at any time.

SUBMISSIONS
Any information you provide to us, such as questions, comments, or ideas, becomes our property. We have exclusive rights and can use and distribute this information for any lawful purpose without compensation. You waive moral rights to these submissions.

THIRD-PARTY WEBSITES AND CONTENT
The Shemisli site may contain links to third-party websites and content. We don't investigate or monitor these, and we're not responsible for their accuracy, appropriateness, or completeness. Clicking on these links or using/installing third-party content is at your own risk, and our terms no longer apply. Review the terms and policies of these third-party sites. We take no responsibility for purchases made through third-party websites. You agree that we don't endorse third-party products or services and will not hold us responsible for any harm caused by or related to third-party content or websites.

SITE MANAGEMENT
We retain the right to monitor the Shemisli site for violations of these Terms of Use. We may take legal action against violators, report them to authorities, and, at our discretion, refuse, restrict access to, or disable any Contributions. We may remove or disable files and content that burden our systems and manage the site to protect our rights.

PRIVACY POLICY
Your data privacy and security matter to us. Review our Privacy Policy at Website. By using the Shemisli site, you agree to be bound by our Privacy Policy. If you access the site from a region with different data privacy laws, you consent to your data being transferred to and processed in the United States.

COPYRIGHT INFRINGEMENT
In your use of the Sites, it's prohibited to post, modify, distribute, or reproduce any content that is copyrighted material belonging to others without obtaining their prior written consent. This includes the submission of designs. Shemisli reserves the right, at its discretion, to remove any content believed to infringe the copyright rights of others and to terminate the accounts of users deemed infringers.

If you believe your work has been copied or posted on the Sites in a way constituting copyright infringement, follow the steps below:

  • Provide a physical or electronic signature of a person authorized to act on behalf of the owner of the allegedly infringed exclusive right.

TERM AND TERMINATION
These Terms of Use are effective as long as you use the Shemisli Sites. We reserve the right, without notice or liability, to deny access, terminate your use, or delete your account and posted content at our sole discretion, for any reason or no reason, including violation of these terms or applicable laws.

If your account is terminated, you're prohibited from creating a new one. We may take legal action against violators.

MODIFICATIONS AND INTERRUPTIONS
We may change, modify, or remove site content at our discretion without notice. We're not liable for any modification, suspension, or discontinuance of the Sites. We can't guarantee continuous site availability and are not responsible for interruptions, delays, or errors due to technical issues.

GOVERNING LAW AND JURISDICTION
These terms are governed by Canadian law, and you agree that the courts in Vancouver, British Columbia, Canada, have exclusive jurisdiction for dispute resolution. Shemisli reserves the right to bring proceedings in your country of residence or, if related to your trade, your principal place of business.

DISCLAIMER

LIMITATIONS OF LIABILITY

There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these Terms of Use or use of the Sites. You agree that these Terms of Use will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these Terms of Use and the lack of signing by the parties hereto to execute these Terms of Use.
